1. About These Terms and Acceptance
These Terms and Conditions (“Terms”) govern your access to and use of the Daily99 website (www.daily99.com), mobile application (“App”), and all related services, features, content, and products (collectively, the “Platform”), operated by DAILY99 COMMERCE PRIVATE LIMITED (“Daily99”, “we”, “us”, or “our”), a company incorporated under the Companies Act, 2013 with Corporate Identity Number (CIN) U47912TN2025PTC184396, having its registered office at Old No.33, New No.4, Ganapathy Colony 3rd Street, Teynampet, Chennai, Tamil Nadu – 600018, India.
By accessing or using the Platform, placing an order, creating an account, or clicking “I Agree” or any equivalent button, you confirm that you have read, understood, and agree to be legally bound by these Terms and all policies incorporated by reference herein, including our Privacy Policy, Cookie Policy, Returns Policy, and Shipping & Delivery Policy. If you do not agree with any part of these Terms, please immediately discontinue your use of the Platform.
These Terms constitute a legally binding agreement under the Indian Contract Act, 1872. If you are using the Platform on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms and the entity accepts these Terms.
2. Definitions
In these Terms, the following expressions shall have the meanings assigned below:
- “Platform” means the Daily99 website, mobile application, and all associated features, tools, APIs, and services operated by Daily99 Commerce Private Limited.
- “User”, “you”, or “your” means any individual who accesses, browses, or uses the Platform in any capacity, including buyers, visitors, and registered account holders.
- “Buyer” means a User who browses, purchases, or attempts to purchase products on the Platform.
- “Vendor” or “Seller” means a third-party merchant who has been registered and approved on the Platform to list, sell, and fulfil products to Buyers.
- “Daily99 Direct” means products listed, sold, and fulfilled directly by DAILY99 COMMERCE PRIVATE LIMITED.
- “Order” means a confirmed purchase request placed by a Buyer for one or more products on the Platform.
- “Lucky Draw” or “Draw” means the complimentary promotional lucky draw programme operated daily by Daily99 as a benefit accompanying eligible purchases.
- “Draw Entry” or “Entry” means a complimentary token awarded to an eligible Buyer upon completing a qualifying purchase, conferring a non-transferable, non-monetisable chance to participate in the daily Lucky Draw.
- “Gamification Features” means the Lucky Draw, Daily Spins, Coins, Contest Codes, Badges, and any other promotional engagement mechanisms offered on the Platform.
- “Personal Data” has the meaning assigned to it under the Digital Personal Data Protection Act, 2023 (“DPDP Act”).
- “Applicable Law” means all statutes, regulations, notifications, rules, guidelines, and orders in force in India that are applicable to the activities described in these Terms.
- “Grievance Officer” means the officer appointed by Daily99 under the Consumer Protection (E-Commerce) Rules, 2020 and the IT Rules, 2021 to address User complaints.
3. Eligibility
To access the Platform, register an account, and transact on the Platform, you must satisfy all of the following conditions:
- You must be a natural person of at least 18 (eighteen) years of age;
- You must be a resident of India or have a valid Indian delivery address;
- You must have the legal capacity to enter into binding contracts under the Indian Contract Act, 1872;
- You must not be barred from using the Platform under any Applicable Law or by a prior suspension or termination by Daily99;
- You must provide accurate, current, and complete registration information; and
- You must use the Platform only for lawful personal, non-commercial purposes unless expressly authorised in writing by Daily99.
By using the Platform, you represent and warrant that all eligibility conditions above are satisfied. Daily99 reserves the right to refuse service, terminate accounts, or cancel orders if it determines, at its sole discretion, that any condition has not been or is no longer satisfied.
If Daily99 discovers that a User is under 18 years of age, all data pertaining to that User will be deleted in accordance with our Privacy Policy.
4. Account Registration and Security
4.1 Registration
To place orders and access personalised features, you must create an account by providing a valid mobile number, email address, and such other information as requested. You agree to provide accurate and truthful information and to promptly update your account details if they change. You may register using your mobile number and a one-time password (OTP) or through a supported third-party authentication service.
4.2 Account Security
You are solely responsible for maintaining the confidentiality of your account credentials, including any OTP, password, or access token. You must not share your credentials with any third party. You agree to notify Daily99 immediately at daily99official@gmail.com if you suspect or become aware of any unauthorised access to or use of your account. Daily99 will not be liable for any loss or damage arising from your failure to maintain account security or from your disclosure of credentials.
4.3 One Account Per User
Each User is permitted to maintain only one active account on the Platform. Daily99 reserves the right to merge, suspend, or permanently deactivate duplicate accounts and any rewards, draw entries, or balances accumulated therein.
4.4 Account Suspension and Termination
Daily99 may, without prior notice, suspend or permanently terminate your account if you violate any provision of these Terms, engage in fraudulent or abusive conduct, or if we have reasonable grounds to believe that continued access poses a risk to the Platform, other Users, or third parties. On termination, all pending rewards and draw entries in your account are forfeited.
5. The Daily99 Platform
5.1 Platform Description
Daily99 is a gamified e-commerce marketplace that enables Buyers to discover and purchase affordable curated products predominantly in the price range of Rs. 99 to Rs. 999. The Platform integrates a daily promotional lucky draw with a seamless shopping experience, allowing every qualifying purchase to carry a complimentary draw entry. The Platform is available via a mobile application (iOS and Android) and a web interface.
5.2 Marketplace Model
Daily99 operates as both a direct seller (under “Daily99 Direct”) and as an online marketplace enabling independent third-party Vendors to list, sell, and fulfil products. Daily99 is an intermediary within the meaning of the Information Technology Act, 2000 and the Consumer Protection (E-Commerce) Rules, 2020 in respect of Vendor listings. Contracts of sale for Vendor products are entered into directly between the Vendor and the Buyer; Daily99 is not a party to such contracts except as a payment collection agent.
5.3 Platform Availability
Daily99 endeavours to maintain Platform availability at all times but does not guarantee uninterrupted, error-free, or virus-free access. The Platform may be taken offline for scheduled or emergency maintenance. Daily99 is not liable for any loss or inconvenience arising from Platform downtime, delays, or interruptions.
5.4 Platform Modifications
Daily99 reserves the right to modify, enhance, or discontinue any feature, service, or aspect of the Platform at any time without prior notice. Continued use of the Platform after any modification constitutes acceptance of the modified Platform.
6. Lucky Draw Programme and Gamification
6.1 Nature of the Programme
The Lucky Draw Programme (“Programme”) is a complimentary sales promotional scheme operated by DAILY99 COMMERCE PRIVATE LIMITED as an incentive to encourage digital commerce transactions. The Programme does NOT constitute a lottery, prize chit, money circulation scheme, or any other regulated gaming or gambling activity within the meaning of the Lotteries (Regulation) Act, 1998; the Prize Chits and Money Circulation Schemes (Banning) Act, 1978; or any other Applicable Law. Daily99 operates the Programme as a promotional draw consistent with guidelines issued by the Government of India recognising that promotional lucky draws linked to the purchase of goods or services are distinct from regulated lotteries.
Important: Draw Entries are awarded solely as a complimentary benefit to customers who purchase products. No part of the purchase price constitutes payment for a Draw Entry. Customers are paying for the product only.
6.2 Earning Draw Entries
Every qualifying purchase of Rs. 99 or above completed by an eligible Buyer on the Platform entitles that Buyer to one or more Draw Entries, awarded free of charge as a complimentary promotional benefit at the time of order confirmation. The number of Draw Entries awarded per purchase may vary by product, promotion, or category and shall be displayed at the time of purchase. Draw Entries are:
- Awarded free of charge as a promotional benefit accompanying a completed product purchase and are not sold under any circumstances;
- Non-transferable, non-assignable, and cannot be gifted or sold to any other person;
- Not redeemable for cash, credit, or monetary equivalents under any circumstances;
- Personal to the registered account holder and are non-negotiable;
- Subject to cancellation and deduction from your account if the associated purchase is returned, cancelled, or refunded;
- Valid only for the specified draw cycle and shall lapse automatically if not used within that cycle.
6.3 Daily Draw Mechanism
The daily draw (“Draw”) takes place at 9:22 PM Indian Standard Time (IST) every calendar day (“Draw Time”). Winners are selected by a computerised, algorithm-driven random selection process designed to ensure fairness and unpredictability. The draw process is conducted electronically and all eligible Draw Entries for that cycle are included in the draw. Draw results are final and binding and shall not be subject to challenge, appeal, or litigation.
6.4 Prizes
Prizes awarded through the Programme consist of products, platform credits (Coins), vouchers, or other non-cash promotional rewards as specified in the applicable promotion terms displayed on the Platform at the relevant time. Cash prizes are not awarded. Daily99 reserves the right to substitute any prize with a prize of equal or greater value at its sole discretion. Prizes are non-transferable and cannot be exchanged for cash or applied against outstanding balances.
6.5 Winner Notification and Prize Claim
Winners will be notified via the Platform (in-app notification) and/or through the registered mobile number or email address within 24 hours of the Draw. Prizes must be claimed within the time period specified in the notification. Prizes that are not claimed within the specified period shall be forfeited automatically and Daily99 shall have no further obligation to the winner in respect of any forfeited prize.
6.6 Manipulation and Fraud
Any attempt to manipulate, circumvent, or exploit the Programme or any other Gamification Feature by any means, including the creation of multiple accounts, use of automated software, collusion, or any other fraudulent method, shall result in immediate disqualification, account termination, forfeiture of all accumulated rewards and draw entries, and may result in legal action.
6.7 Programme Modifications and Discontinuation
Daily99 reserves the right, at its sole discretion and at any time, to modify, suspend, or permanently discontinue the Programme or any Gamification Feature, with or without prior notice. Any modification or discontinuation shall not give rise to any claim for compensation or damages by any User.
6.8 Other Gamification Features
The Platform may include additional engagement features including Daily Spins, Coins, Contest Codes, and Achievement Badges (collectively, “Gamification Features”). These features are promotional tools offered at Daily99’s discretion. Coins and credits earned through Gamification Features may be applied against eligible purchases subject to applicable minimum purchase thresholds and usage rules displayed on the Platform. All Gamification Features are subject to these Terms and any supplementary terms displayed at the point of participation.
6.9 State and Jurisdictional Compliance
Users are solely and entirely responsible for ensuring that their participation in the Programme and use of Gamification Features complies with all Applicable Laws in their respective state or Union Territory, including any state-level restrictions on promotional prize schemes or draws. Daily99 makes no representation that the Programme is available or permissible in every jurisdiction within India. Users in states where participation in promotional draws may be restricted or prohibited are advised to seek independent legal advice before participating. Daily99 accepts no liability for any consequences arising from a User’s failure to comply with their local jurisdictional obligations.
7. Products, Pricing, and Listings
7.1 Product Information and Accuracy
Daily99 takes reasonable steps to ensure that product descriptions, specifications, images, and other information displayed on the Platform are accurate and complete at the time of listing. However, Daily99 does not warrant that all product information is error-free, current, or complete. Product images are for illustrative purposes only; actual products may differ in colour, packaging, or appearance. You are responsible for reviewing product details, including dimensions, composition, and usage instructions, before placing an order.
7.2 Pricing Policy
All prices on the Platform are displayed in Indian Rupees (INR) and are inclusive of applicable Goods and Services Tax (GST) unless expressly stated otherwise. Daily99 reserves the right to modify product prices at any time without prior notice. The price applicable to your Order is the price confirmed at the time of Order placement. If a pricing error is discovered after Order confirmation, Daily99 will contact you and provide the option to proceed at the correct price or cancel with a full refund.
7.3 Product Availability
All Orders are subject to product availability at the time of processing. If a product becomes unavailable after your Order is confirmed (including due to stock discrepancies or Vendor inventory issues), you will be notified promptly and a full refund will be issued for the unavailable item within the timelines specified in our Returns Policy.
7.4 Prohibited Products
Daily99 maintains a prohibited and restricted product list and does not permit the listing or sale of products that are counterfeit, illegal, hazardous, obscene, or otherwise prohibited under Applicable Law. If you receive a product that you believe is counterfeit, unsafe, or misrepresented, please report it immediately to daily99official@gmail.com. Daily99 cooperates with all relevant regulatory authorities in the investigation and removal of prohibited products.
7.5 Vendor Listings
Products listed by third-party Vendors are the sole responsibility of the respective Vendor. Daily99 does not inspect, certify, or verify every Vendor listing and makes no representations regarding the quality, authenticity, safety, or fitness for purpose of Vendor products beyond what is displayed on the Platform. Buyers are encouraged to review product descriptions, Vendor ratings, and reviews before purchasing.
8. Orders and Payment
8.1 Placing an Order
When you place an Order on the Platform, you are making an offer to purchase the selected product(s) at the listed price and quantity. An Order is confirmed and a binding contract of sale is formed when you receive an Order Confirmation from Daily99 by email, SMS, or in-app notification. Daily99 reserves the right to reject or cancel any Order for any reason, including pricing errors, product unavailability, suspected fraud, payment failure, or violation of these Terms.
8.2 Accepted Payment Methods
The Platform accepts payment through: UPI (Unified Payments Interface); debit cards and credit cards (Visa, Mastercard, RuPay); net banking; and such other payment methods as may be introduced from time to time and displayed at checkout. All payments are processed through a PCI-DSS compliant third-party payment gateway. Daily99 does not store your complete card details on its servers.
8.3 Payment Security
Daily99 implements industry-standard TLS/SSL encryption for all payment transactions. However, Daily99 is not responsible for any unauthorised access to or interception of payment information that occurs through no fault of Daily99, including security breaches within third-party payment processing networks.
8.4 Failed and Disputed Payments
If your payment fails, your Order will not be confirmed and your cart will remain intact. If a payment amount is debited from your bank account but the Order is not confirmed on the Platform, the debited amount will be automatically reversed by your payment provider within 5 to 7 business days. Please contact your bank before escalating to Daily99 support. For disputes on confirmed and settled transactions, please contact us at support@daily99.com.
8.5 GST and Tax Invoicing
All transactions attract applicable GST as per the Goods and Services Tax Act, 2017. Tax Invoices bearing the Vendor’s GSTIN (for registered Vendors) or a Bill of Supply (for non-GST Vendors below the Rs. 20 lakh annual turnover threshold) are generated automatically and made available in your Order History. Daily99 Direct transactions are invoiced under Daily99’s GSTIN. Daily99 deducts and remits Tax Collected at Source (TCS) on marketplace transactions as required under the GST Act.
9. Multi-Vendor Marketplace Terms
9.1 Daily99 as Marketplace Intermediary
With respect to third-party Vendor products, Daily99 acts as a marketplace intermediary as defined under the Consumer Protection (E-Commerce) Rules, 2020 and the Information Technology Act, 2000. Daily99 provides a technology platform enabling Vendors and Buyers to transact. The contract of sale for Vendor products is formed directly between the Vendor and the Buyer; Daily99 is not a party to that contract except as a payment collection agent and platform provider.
9.2 Vendor KYC and Due Diligence
All Vendors undergo mandatory KYC verification (including Aadhaar verification, PAN verification, and bank account penny-drop verification) before they are permitted to list products. Daily99 reviews Vendor credentials and reserves the right to refuse, suspend, or permanently revoke Vendor status at any time for violations of Vendor terms, listing of prohibited products, fraudulent conduct, or poor customer service performance.
9.3 Payment Collection and Settlement
Daily99 collects payment from Buyers on behalf of Vendors as a payment collection agent. Settlement of Vendor proceeds (net of applicable platform commission and fees) is made within 7 business days after delivery confirmation and expiry of the applicable return window. By completing payment to Daily99, a Buyer’s payment obligation to the Vendor is fully discharged. Vendor commission tiers applicable on the customer selling price are: 8% for orders up to Rs. 500; 12% for orders between Rs. 501 and Rs. 2,000; and 15% for orders above Rs. 2,000; plus a flat Rs. 20 per-order platform fee.
9.4 Vendor Promotions and Discounts
Vendors may offer promotional discounts on their products, subject to Daily99’s approval. All discounted prices displayed on the Platform at the time of purchase are the final prices you will pay. Discounts do not affect the allocation of Draw Entries, which are based on the amount paid by the Buyer.
9.5 Disputes with Vendors
If you have a dispute with a Vendor regarding a product, order, or transaction, please contact Daily99 through the Platform’s dispute resolution mechanism or at support@daily99.com. Daily99 will facilitate dispute resolution between you and the Vendor but is not itself liable for the Vendor’s obligations. If a Vendor fails to fulfil their obligations, Daily99 will take appropriate remedial action including Vendor suspension and assistance with refunds where applicable.
10. Cancellation of Orders
10.1 Cancellation Before Dispatch
You may cancel an Order before it has been dispatched by visiting “My Orders” in your account and selecting the cancellation option, or by contacting us at support@daily99.com. If an Order is cancelled before dispatch, a full refund of the amount paid will be processed to your original payment method within 5 to 7 business days. Any Draw Entries awarded on the cancelled Order will be deducted from your account.
10.2 Cancellation After Dispatch
Once an Order has been dispatched, it cannot be cancelled. You may initiate a return after delivery in accordance with our Returns Policy available on the Platform.
10.3 Cancellation by Daily99 or Vendor
Daily99 or the fulfilling Vendor may cancel all or part of an Order in cases including, but not limited to: product unavailability, pricing errors, failed payment settlement, delivery constraints for the specified address, or reasonable suspicion of fraudulent activity. You will receive a full refund for any cancelled items. Daily99 will notify you of any such cancellation without undue delay.
11. Returns, Refunds, and Exchanges
This section provides a summary of key return and refund terms. The full Returns Policy is published separately on the Platform and governs all returns, refunds, and exchanges.
- The standard return window is 7 (seven) calendar days from the date of delivery, unless a different period is specified on the product listing page.
- Products must be returned unused, unworn, with all original tags, labels, accessories, and packaging intact.
- Certain product categories (including perishables, intimate apparel, customised products, and digital goods) are non-returnable.
- Refunds are processed to the original payment method within 5 to 10 business days of return approval.
- Draw Entries associated with a returned, cancelled, or refunded Order are cancelled and deducted from your account balance.
- For damaged or defective products, please raise a return request within 48 hours of delivery with photographic evidence.

12. Intellectual Property Rights
12.1 Ownership of Daily99 IP
The Platform and all its components, including its software, code, architecture, design, user interface, brand name “Daily99”, logos, trade marks, trade dress, mascots (including the “Mask Man” and associated characters), slogans, proprietary content, and all other materials (collectively, “Daily99 IP”) are owned by or exclusively licensed to DAILY99 COMMERCE PRIVATE LIMITED and are protected under the Trade Marks Act, 1999; the Copyright Act, 1957; the Patents Act, 1970; and all other applicable intellectual property laws of India and international conventions. All rights are reserved.
12.2 Licence to Use the Platform
Subject to your compliance with these Terms, Daily99 grants you a limited, personal, non-exclusive, non-transferable, revocable, royalty-free licence to access and use the Platform solely for your personal, non-commercial use. This licence expressly excludes any right to: copy, reproduce, distribute, or create derivative works from any Daily99 IP; collect or extract product descriptions, images, pricing data, or any other content; use any automated tool, bot, spider, or scraper to access the Platform; sub-licence or commercially exploit the Platform or any Daily99 IP.
12.3 User-Submitted Content
By submitting reviews, ratings, photographs, comments, or other content to the Platform (“User Content”), you grant Daily99 a non-exclusive, royalty-free, perpetual, irrevocable, worldwide, sub-licensable licence to use, store, reproduce, modify, adapt, publish, translate, and distribute such User Content across any media, format, or channel. You represent and warrant that your User Content is original, does not infringe any third-party intellectual property or other rights, and complies with Applicable Law.
12.4 Reporting Infringement
If you believe that any content on the Platform infringes your intellectual property rights, please notify our Grievance Officer at grievance@daily99.com with full details of the alleged infringement, including your contact information, identification of the infringing content, and a statement that you have a good faith belief that the use is not authorised.
13. User Obligations and Prohibited Conduct
13.1 General Obligations
You agree to use the Platform only for lawful purposes, in good faith, and in accordance with these Terms. You are responsible for all activity conducted through your account.
13.2 Prohibited Activities
You must not engage in any of the following activities on or in connection with the Platform:
- Providing false, misleading, or fraudulent information during registration, at checkout, or in any communication with Daily99;
- Impersonating any person, company, or entity, or misrepresenting your affiliation with any person or entity;
- Accessing or attempting to access any other User’s account, data, or personal information without authorisation;
- Using the Platform to conduct, facilitate, or promote any activity that is illegal, fraudulent, or harmful under Applicable Law;
- Attempting to circumvent, disable, reverse-engineer, or interfere with any security feature, authentication mechanism, or technological protection measure of the Platform;
- Using automated scripts, bots, crawlers, spiders, or data-mining tools to access, collect, or extract data from the Platform without prior written consent from Daily99;
- Posting, transmitting, or distributing any content that is defamatory, obscene, offensive, hate speech, or in violation of the rights of any third party;
- Transmitting unsolicited commercial communications (spam) to other Users or through the Platform;
- Manipulating, circumventing, or exploiting the Lucky Draw Programme or any Gamification Feature by creating multiple accounts, using proxies, colluding with others, or any other fraudulent means;
- Placing Orders with fraudulent payment methods, using stolen credentials, or engaging in any form of payment fraud;
- Reselling products purchased on the Platform for commercial gain without prior written authorisation from Daily99.
13.3 Consequences of Prohibited Conduct
Violation of Section 13 may result in immediate suspension or permanent termination of your account; cancellation of all pending Orders; forfeiture of all accumulated Draw Entries, Coins, and rewards; civil and/or criminal proceedings; and referral to law enforcement authorities.
14. Third-Party Links and Services
The Platform may contain links to or integrations with third-party websites, applications, or services (“Third-Party Services”). Such links are provided for convenience and informational purposes only. Daily99 does not control and is not responsible for the content, accuracy, privacy practices, or terms of Third-Party Services. Accessing any Third-Party Service is at your own risk and subject to the terms and privacy policies of that third party.
Payment processing is performed by third-party payment gateway providers. By completing a payment on the Platform, you also agree to the terms and privacy policy of the applicable payment gateway provider, which will be displayed at checkout.
15. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM AND ALL CONTENT, PRODUCTS, AND SERVICES MADE AVAILABLE THROUGH IT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY REPRESENTATION OR WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. DAILY99 EXPRESSLY DISCLAIMS ALL WARRANTIES INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, RELIABILITY, AND UNINTERRUPTED OR ERROR-FREE ACCESS. DAILY99 DOES NOT WARRANT THAT THE PLATFORM IS FREE OF VIRUSES, MALWARE, OR OTHER HARMFUL COMPONENTS.
NOTHING IN THESE TERMS AFFECTS STATUTORY RIGHTS THAT YOU MAY HAVE AS A CONSUMER UNDER THE CONSUMER PROTECTION ACT, 2019, WHICH CANNOT BE EXCLUDED, RESTRICTED, OR MODIFIED BY CONTRACT.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DAILY99’S AGGREGATE CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU FOR THE SPECIFIC ORDER OR TRANSACTION THAT GAVE RISE TO THE CLAIM. DAILY99 SHALL NOT BE LIABLE UNDER ANY CIRCUMSTANCES FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS OPPORTUNITY, EVEN IF DAILY99 HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Daily99 is not liable for delays, failures, or defaults attributable to: acts of God, natural disasters, floods, fires, earthquakes, or pandemics; governmental actions, regulations, or restrictions; power failures, internet service provider outages, or telecommunications failures; third-party Vendor conduct or Vendor fulfillment failures; or any other event beyond Daily99’s reasonable control (“Force Majeure Events”).
17. Indemnification
You agree to indemnify, defend, and hold harmless DAILY99 COMMERCE PRIVATE LIMITED and its respective directors, officers, employees, agents, partners, and licensors from and against any and all claims, demands, suits, proceedings, judgments, losses, liabilities, damages, fines, penalties, costs, and expenses (including reasonable attorney’s fees) arising out of or relating to: (a) your use of or inability to use the Platform; (b) your violation of any provision of these Terms; (c) your violation of any Applicable Law or the rights of any third party; (d) any User Content you submit; or (e) any product you purchase or sell on the Platform.

Daily99 will acknowledge your grievance within 48 (forty-eight) hours of receipt and will endeavour to resolve it within 30 (thirty) days. If you are dissatisfied with the resolution, you may approach the relevant consumer forum under the Consumer Protection Act, 2019 or file a complaint on the National Consumer Disputes Redressal Commission portal (edaakhil.nic.in) or the Consumer Helpline (consumerhelpline.gov.in).

For requests from law enforcement agencies and government authorities under the IT Act, 2000 and related rules, please contact the Grievance Officer at the address above. Daily99 cooperates fully with all valid legal process from competent authorities.
19. Governing Law and Dispute Resolution
These Terms and all disputes arising out of or in connection with these Terms, the Platform, or any transaction conducted through the Platform shall be governed by and construed in accordance with the laws of India, without regard to conflict-of-laws principles.
In the event of a dispute, the parties agree to first attempt to resolve the dispute through good-faith negotiation for a period of 30 days from the date of notice of the dispute. If the dispute is not resolved through negotiation, it shall be referred to mediation under the Mediation Act, 2023 before a mediator mutually agreed upon by the parties.
If mediation fails, all disputes shall be subject to the exclusive jurisdiction of the courts of Chennai, Tamil Nadu, India. Nothing in this clause shall prevent Daily99 from seeking urgent interim or injunctive relief from any court of competent jurisdiction to protect its intellectual property, proprietary interests, or to prevent irreparable harm.
20. Modifications to These Terms
Daily99 reserves the right to amend, revise, or update these Terms at any time. The revised Terms will be posted on the Platform with an updated “Last Updated” date. Where the amendments are material, Daily99 will endeavour to provide reasonable notice via email, in-app notification, or a prominent notice on the Platform. Continued use of the Platform after the effective date of any amendment constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.
21. Severability, Waiver, and Entire Agreement
If any provision of these Terms is held to be unlawful, void, unenforceable, or invalid by a court of competent jurisdiction, that provision shall be deemed severable from the remaining provisions, which shall continue in full force and effect. A failure by Daily99 to enforce any provision of these Terms at any time shall not be construed as a waiver of Daily99’s right to enforce that or any other provision at a later time.
These Terms, together with the Privacy Policy, Cookie Policy, Returns Policy, and Shipping & Delivery Policy, constitute the entire agreement between you and Daily99 with respect to the subject matter hereof and supersede all prior or contemporaneous representations, understandings, or agreements, whether oral or written.
